Association Bylaws:
PICKEREL-PEARSON BUSINESS ASSOCIATION BY-LAWS
(amended June 16, 2025).
ARTICLE I – ASSOCIATION NAME
Section 1. This organization, incorporated under the laws of the State of Wisconsin as a non-profit organization, shall be known as the Pickerel-Pearson Business Association, here-in referred to as Association or PPBA.
ARTICLE II – ASSOCIATION OFFICE
Section 1. The office and business mailing address of this Association shall be P.O. Box 76, Pickerel, Wisconsin 54465-0076, until such time as a permanent address my be established.
ARTICLE III – PURPOSE AND SCOPE
Section 1. The Association’s purpose is to promote and improve the Pickerel-Pearson community through various activities, advertising programs, and directional signage.
ARTICLE IV – MEMBERSHIP
Section 1. Membership in the Association is limited to businesses located in the Pickerel-Pearson area including those in the vicinities of Rollingstone, Pickerel, Crane,
Arbutus, Lily and Crystal Lakes, as well as those adjacent to the Wolf River in said area.
Membership is also open to individuals that live in the area and conduct business in the area but whose business may be located outside of the area.
Section 2. Associate membership is open to any business, organization or individuals, approved by the membership, wishing to join the Association for the purpose of promoting and improving this area, although all activities conducted by the Association will remain within the area stated in Section l.
ARTICLE V – DUES
Section 1. Annual dues will be billed by the Treasurer. Annual dues are due on October 15th of each year.
Section 2. Annual dues for both members and associate members will be $75.00 per member. Business owners with multiple businesses (which are separate and individually named) will be charged for each individual business name.
Section 3. Delinquency: If a member is delinquent in the payment of dues (30 days
grace period) to the Association, his/her signs will be removed from Association sign
posts and his/her membership will be forfeited. Reinstatement shall be as a new member.
ARTICLE VI – OFFICERS AND DIRECTORS
Section 1. Officers: The elected officers of the Association shall be President, Vice-President, Secretary, and Treasurer. They shall be elected for terms of two years.
Section 2. Duties of Officers: The officers shall perform the duties described in the parliamentary authority and these By-Laws.
Section 3. Directors: There shall be three elected directors. Terms of 1 year, 2 years, and 3 years.
Section 4. Election of Officers and Directors. The election of officers shall take place by ballot at the annual meeting to serve a term of two years (except directors) and until their successors are elected. Terms will be staggered to prevent four new officers in one year. Secretary and Treasurer will be elected on even years and President and Vice President on odd years. Their term of office shall begin upon adjournment of the annual meeting.
Section 5. No person shall hold office if he is not a member in good standing, and no member shall hold more than one office at a time.
ARTICLE VII – MEETINGS
Section 1. A regular quarterly meeting of the members shall be held on the 3rd
Monday of the month, unless the membership orders otherwise in advance. Meetings are held in January, April (annual meeting) July and October.
Section 2. The regular meeting in April shall be known as the annual meeting and shall be for the purpose of electing officers and directors, receiving annual reports, and conducting any other business that may be necessary.
Section 3. Special meetings may be held upon the call of the President or on the request of any of the officers.
ARTICLE VIII – ASSOCIATION MEMBER SIGNS
Section 1. A sign committee will be appointed on a yearly basis by the President of the Association.
Section 2. Only members is good standing (dues paid) can display signs on Association sign posts.
Section 3. Only the PPBA sign committee (or an appointed designee of said committee or the Association President) can do placement or removal of signs.
Section4. Signs will be ordered on a yearly basis by the sign committee or a person appointed by the President. All signs will be purchased at member’s expense thru the Association.
Section 5. Specifications: All arrow signs to be displayed on the Association sign posts must meet the following specification:
Size and Shape: Arrow shape 6 inches wide by 72 inches long.
Color: White background with black reflective lettering and black
reflective border.
Lettering: Height must be 4 inches, style is sans serif, bold.
Material: Alumalite
ARTICLE IX – FINANCES
Section 1. All finances shall be under the control of the Treasurer and one other officer. No special funds shall be established by him/her unless so directed by a majority of the membership.
Section 2. An audit of the Treasurer’s books shall be preformed annually by the newly elected officers.
ARTICLE X – AMENDMENTS
Section 1. Amendments or additions to the By-Laws of this Association shall be by a majority vote of the membership present at the meeting. Notice of a proposed change to the By-Laws must be sent to all members approximately two weeks prior to said meeting.
